These Terms and Conditions ("Terms") govern the services provided by Lunaris Works ("we", "our", or "us") to clients ("you", "your").

By engaging with Lunaris Works for any project, consultancy, or service, you agree to the following Terms.

1. Scope of Services

We offer project management consultancy, training, advisory, and related services as agreed in writing via email, proposal, or service agreement. All services will be delivered in a professional and timely manner.

2. Fees and Payment Terms

All fees will be confirmed in writing before the commencement of any work.
Invoices are issued upon confirmation of work or at agreed milestones.
Payment is due within 14 days of invoice date unless otherwise agreed.
Late payments may incur interest charges at 4% above the Bank of England base rate.

3. Cancellations and Rescheduling

You may cancel or reschedule a booked service with 5 business days’ notice without penalty.
Cancellations with less than 5 days’ notice may incur a 50% cancellation fee, and same-day cancellations are charged in full.
If we need to reschedule or cancel, we will provide as much notice as reasonably possible.

4. Client Responsibilities

To enable successful delivery, you agree to:

Provide accurate and timely information.
Respond to requests for clarification or feedback.
Ensure decision-makers are available as needed.

We are not liable for delays or service quality issues arising from incomplete or delayed client input.

5. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without your written consent unless required by law.

You agree to treat any materials or information shared by Lunaris Works as confidential unless publicly available or agreed otherwise.

6. Intellectual Property

Unless agreed otherwise:

All custom reports, documents, tools, or content created by Lunaris Works remain our intellectual property.
You are granted a non-exclusive, non-transferable license to use these materials for internal purposes only.

7. Limitation of Liability

To the fullest extent permitted by law:

Our total liability under these Terms is limited to the amount you have paid for the relevant services.
We are not liable for any indirect, incidental, or consequential damages (including loss of profit, revenue, or business opportunity).

8. Force Majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control (e.g. natural disaster, internet outage, illness, etc.).

9. Amendments

We may update these Terms occasionally. The most recent version will always be available on our website. Continued use of our services implies acceptance of the updated terms.

10. Governing Law

These Terms shall be governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England.
